You own the business. We handle the paperwork that makes it a US company. A foreign-owned New Mexico LLC needs a state filing, a registered agent in the state, an EIN from the IRS, and somewhere to hold business funds. Our Non-US Founder Package takes all four off your plate, and you don't need a Social Security Number for any of them.

$399 + New Mexico's $50 filing fee. That covers a year of registered agent service too, which renews at $99/yr.

Want a US company, but you don't live in the US? No Social Security Number, no US address, no idea where to start. That's exactly what we handle.

You fill out one short form. That's it.

We form your New Mexico LLC with the state.

We become your registered agent, so your official mail goes to our New Mexico office and straight on to you.

We prepare your EIN application. No Social Security Number needed. You just sign.

And you don't have to wait for your EIN. As soon as you sign, your bank account application is ready for our partners, with your company documents already attached. You approve it, we send it. Your EIN arrives in the background, straight to your dashboard. (Our partners make the final decision, so approval isn't guaranteed.)

One package: $399, plus the $50 New Mexico state fee. Start your US company today.

Who it's for

Our customers usually already run a business outside the US and have hit the point where they need a US company. A marketplace wants a US entity on the seller account. A software customer's procurement team wants a US vendor. A consulting client sends over a W-9. These owners don't have an SSN or a US address, and they'd rather not learn US filing rules from scratch. That's the job we take on.

How it works

  1. Order. You enter your company and owner information at checkout, once.
  2. Filing. We file your Articles of Organization online with the Secretary of State.
  3. Approval. New Mexico issues your certificate of organization, and it's posted to your dashboard.
  4. EIN application. We send you the finished Form SS-4 for a digital signature.
  5. Bank account application. It's ready right after you sign, with your company documents attached, so you don't wait for the EIN. You approve it, and it goes to our partners.
  6. Fax. Your signed SS-4 goes to the IRS.
  7. EIN received. The IRS assigns your number, normally two to eight weeks after the fax, and you'll find it in your dashboard.

Only three of these need you: 1, 4, and 5. We take care of the others.

What we handle for you

We form the company. We prepare your Articles of Organization and file them through New Mexico's online business portal. The Secretary of State sets its own processing time.

We become your registered agent. During the first year, our New Mexico office serves as your registered office. Legal papers and state mail sent there are scanned and forwarded to you. After year one, the service renews at $99/yr.

We get the EIN without an SSN. The IRS online system isn't open to a responsible party with no SSN or ITIN, so we complete Form SS-4 for you, collect your digital signature, and fax it to the IRS. It usually takes the IRS two to eight weeks, with no expedited option. Have an SSN? Then we use the standard application, and the EIN is still part of the package.

We put your bank account application in motion without waiting for the EIN. Once your signature is on the SS-4, the application for an account with our partners is ready, prepared from your order and carrying your company documents. Once you give the go-ahead, it's sent, and your EIN turns up in your dashboard afterward. Our partners make that call, and approval isn't guaranteed.

Why New Mexico

  • Formation fee: $50, set by NMSA § 53-19-63(A).
  • Filing method: online only. The Secretary of State no longer accepts paper business filings.
  • Periodic reports: none. New Mexico LLCs don't file annual, biennial, or any other periodic reports under the LLC Act.
  • Registered agent: required at all times, and the agent must do business at the registered office.
  • Changing agents: a Statement of Change, with a $20 state fee.
  • Tax registration: handled by the Taxation and Revenue Department. Gross receipts tax may apply, depending on what your business does and where it sells.

Compared with states that require a yearly report, New Mexico asks for very little state-level upkeep. That's about filings, not taxes, so have a tax professional look at your situation.

What stays with you after setup

  • Federal tax and information returns, including Form 5472 and the pro forma Form 1120 that often goes with it. We don't prepare or file them.
  • Gross receipts tax registration and any New Mexico tax returns.
  • Tax, legal, or immigration advice. For that, hire a tax professional who works with non-resident owners.

How we compare

FAQ

Can a foreign national be the sole owner of a New Mexico LLC?

Yes. New Mexico's LLC Act doesn't restrict ownership by nationality or residence. A single foreign owner can hold 100% of the company, as long as it keeps a New Mexico registered agent.

Will I get a US bank account?

We prepare the application for our partners. Your signature on the SS-4 is the cue: from then on it's complete, company documents included, and it doesn't sit waiting on the IRS. We send it once you've signed off on it. The account decision is up to our partners, and approval isn't guaranteed.

How much is the New Mexico filing fee?

$50 for the Articles of Organization, set by statute. We add it to our $399 fee at cost, and checkout shows the final amount before you pay.

Does a New Mexico LLC file a yearly report with the state?

No. New Mexico has no annual or biennial report for LLCs. What you do need is a registered agent and office on record at all times. Any tax registration is handled separately by the Taxation and Revenue Department.

How does a foreign owner get an EIN?

Through Form SS-4, which we fill in according to the IRS procedure for owners without an SSN. After you sign, it's faxed. Expect two to eight weeks, because the IRS doesn't expedite this route.

Do foreign-owned LLCs have special IRS filings?

Often, yes. Many single-member LLCs owned by non-US persons have to submit Form 5472 along with a pro forma Form 1120, and we don't handle those. Ask a tax professional which apply to your company.

What renews after the first year?

Only the registered agent service, at $99 a year, which you can cancel in your dashboard. No other part of the package has a recurring charge.
